Terms and Conditions

These Terms and Conditions ("Terms") govern your use of our products and services, including the Payments SDK, Observability Suite, and AI Agents (collectively referred to as "Services"), as provided by Neobrix Saas Solutions Pvt Ltd or Neobrix Pte Ltd (collectively referred to as “Company”). By accessing or using our Services, you agree to comply with and be bound by these Terms. If you do not agree, please refrain from using our Services.
1. Definitions

"Company" refers to Neobrix Saas Solutions Pvt Ltd and Neobrix Pte Ltd, the provider of the Services.

"Customer" refers to any individual or entity that purchases, uses, or accesses the Services.

"Payments SDK" refers to the software development kit designed to facilitate payment processing within Customer applications.

"Observability Suite" refers to the set of tools provided for monitoring, logging, and analyzing application performance.

"AI Agents" refers to the artificial intelligence-driven solutions that automate tasks and enhance business processes.
2. License and Use
2.1 License Grant
The Company grants the Customer a non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. The Services are licensed, not sold, to the Customer.
2.2 Use Restrictions
The Customer agrees not to:

Reverse engineer, decompile, or disassemble the Services.

Use the Services in any manner that violates applicable laws or regulations.

Reproduce, distribute, or create derivative works of the Services.
3. Payments SDK
3.1 Integration
The Payments SDK may be integrated into Customer applications to enable payment processing. The Customer is responsible for ensuring that the integration complies with all applicable laws, including data privacy and payment regulations.
3.2 Fees
The Customer agrees to pay the fees associated with the use of the Payments SDK as outlined in the applicable order form or pricing plan.
4. Observability Suite
4.1 Monitoring and Analytics
The Observability Suite provides tools for real-time monitoring, logging, and analysis of application performance. The Customer acknowledges that the Observability Suite is provided as a tool to enhance visibility into their systems but does not guarantee error-free or uninterrupted operation.
4.2 Data Retention
The Company will retain data collected by the Observability Suite in accordance with its data retention policy, which may be updated from time to time.
5. AI Agents
5.1 Functionality
AI Agents automate tasks and provide insights based on predefined rules and machine learning algorithms. The Customer acknowledges that the AI Agents are designed to assist and enhance decision-making but should not be relied upon as the sole basis for critical decisions.
5.2 Limitations
The Company does not guarantee the accuracy or reliability of the outputs generated by the AI Agents. The Customer is responsible for verifying the results before acting on them.
6. Confidentiality
6.1 Confidential Information
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the use of the Services. This obligation shall survive the termination of these Terms.
6.2 Exceptions
Confidential information does not include information that:

Is publicly available at the time of disclosure.

Becomes publicly available through no fault of the receiving party.

Is independently developed without reference to the confidential information.
7. Intellectual Property
All intellectual property rights in the Services, including any improvements, enhancements, or modifications, remain the sole property of the Company. The Customer has no rights to the Services other than those expressly granted by these Terms.
8. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the Services.
9. Indemnification
The Customer agrees to indemnify and hold harmless the Company, its affiliates, and its employees from any claims, liabilities, damages, or expenses arising out of the Customer’s use of the Services, violation of these Terms, or infringement of any third-party rights.
10. Termination
The Company may terminate or suspend access to the Services immediately, without prior notice, if the Customer breaches these Terms. Upon termination, the Customer must cease all use of the Services and destroy any copies in their possession.
11. Amendments
The Company reserves the right to modify these Terms at any time. The Customer will be notified of significant changes via email or through the Services. Continued use of the Services after changes are made constitutes acceptance of the new Terms.
12. Refunds
Refunds for our services, including the Payments SDK, Observability Suite, and AI Agents, are only granted with explicit approval from the Company. All refund requests must be submitted in writing and will be evaluated on a case-by-case basis. Approval of refunds is at the sole discretion of the Company, and any refunds issued will be subject to applicable processing fees and terms. Please note that refunds are generally not provided for services that have been fully rendered or delivered. Once the refund request is approved, it will take 3-5 business days for the refund to appear on your statement. Please contact us if 3-5 business days have passed and you still don’t see a refund.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in India.
